Division of authority	Shanghai Municipal Administration for Market Regulation shall mainly register the foreign-invested companies and their branches in the Negative List and of financial category, foreign-invested companies that the State Administration for Market Regulation authorizes it to register, and other foreign-invested companies and their branches to be registered by it as Shanghai Municipal Administration for Market Regulation thinks. Pudong New Area Market Supervision Administration Bureau (or the Market Supervision Administration Bureau of China (Shanghai) Pilot Free Trade Zone) shall mainly register the foreign-invested companies and their branches outside the Negative List in administrative areas of Pudong New Area (or China (Shanghai) Pilot Free Trade Zone). Entrusted by Shanghai Municipal Administration for Market Regulation, the market supervision administration bureaus of other districts shall register the foreign-invested companies and their branches in administrative areas of those districts, except for those registered by Shanghai Municipal Administration for Market Regulation.

2. The documents prepared by the Applicant are printed with A4 papers, and those issued by the government and other authorities shall be provided in the size(s) as the original(s);

Legal Basis

Article 4 of the Regulation of the Peoples Republic of China on the Administration of Company Registration (Decree No. 451 of the State Council of the People’s Republic of China): The administrative agencies for industry and commerce shall be the company registration authorities. The company registration authorities at a lower level shall conduct company registration under the leadership of the company registration authorities at a higher level. The company registration authorities shall perform duties in accordance with the law, free from any unlawful interference.

The applicant shall have the following rights according to laws:

1. In the case of meeting the legal conditions and standards, the applicants have the equal right to obtain the administrative permit according to law.

2.  The applicants have the right to state on and defend against the implementation of administrative permit by the market regulator

3.  The applicants have the right to apply for administrative reconsideration or bring an administrative lawsuit according to law.

4.  Where legal rights of applicants damaged by illegal implementation of administrative permit by the market regulator, applicants are entitled to claim compensation according to law;

Question:  Must the establishment of a foreign-invested company be examined and approved?

Answer:  The business scope shall be compared with the Negative List. The items within the Negative List shall be submitted to the competent authority (like the Commission of Commerce) for examination and approval; and upon approval, an approval document is to be issued and an application for registration of establishment is to be submitted. For those outside the Negative List, the Commission of Commerce may collect relevant information for the record at the time of online application, and the establishment can be carried out directly without approval.

Common mistake: In the establishment information provided for all processing at a single window, the business scope is inconsistent with the name.

Correct action: The main operations in the business scope shall be consistent with the name and the contents shall be relevant.
